Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the website located at thirdbase.ai and any related services, tools, and features (collectively, the “Service”) provided by Going Green Advisors LLC, a Delaware limited liability company (“Third Base,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

Third Base is an AI-guided workflow platform designed to help founders navigate business formation and launch. The Service may include, without limitation:

• AI-powered conversational guidance (the Coach)
• Business name generation and domain availability tools
• A milestone tracker for business formation steps
• A credentials and document vault (the Vault)
• Supplier and vendor directory with referral links
• Lightweight accounting and customer tracking tools
• Integration with and referrals to third-party service providers

Third Base is not a law firm, accounting firm, registered agent, or licensed financial advisor. The Service provides informational guidance and workflow tools. It does not provide legal, tax, financial, or professional advice. You should consult qualified professionals for decisions specific to your situation.

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

Certain features of the Service require you to create an account. You agree to provide accurate and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

We use Clerk as our authentication provider. Your authentication data is processed in accordance with Clerk’s terms and privacy policy in addition to ours.

The Service incorporates artificial intelligence, including large language models provided by Anthropic. You acknowledge and agree that:

• AI-generated content (including business name suggestions, guidance, and recommendations) is provided for informational purposes only and may contain errors or inaccuracies.
• You are solely responsible for evaluating and verifying any AI-generated output before relying on it for business, legal, financial, or other decisions.
• AI features may produce different results for the same input and do not guarantee any particular outcome.
• Third Base does not warrant the accuracy, completeness, or suitability of any AI-generated content.

The Vault allows you to store credentials, API keys, and documents associated with your business formation. You acknowledge and agree that:

• The Vault is an organizational convenience tool, not a dedicated security product. It is not a substitute for enterprise-grade password managers (such as 1Password or Bitwarden) or secret management systems (such as HashiCorp Vault or AWS Secrets Manager).
• Sensitive fields are encrypted at rest using AES-256-GCM. However, the Vault does not provide end-to-end encryption with user-held keys. Third Base personnel with sufficient access could theoretically access stored data.
• You are responsible for the content you store in the Vault. Do not store information beyond what is needed for your business formation workflow.
• Third Base is not liable for any unauthorized access to your Vault data resulting from compromised account credentials or factors outside our reasonable control.

The Service may provide links, referrals, and integrations with third-party vendors and service providers (such as domain registrars, registered agents, payment processors, and hosting platforms). You acknowledge and agree that:

• Third Base is not a party to any transaction between you and a third-party vendor.
• Third Base may receive referral fees or affiliate commissions from vendors. This does not increase the cost to you.
• Your use of any third-party service is governed by that provider’s own terms and privacy policy. Third Base is not responsible for the acts, omissions, products, or services of any third party.
• Third Base does not guarantee the availability, accuracy, or quality of any third-party service, even if featured or recommended within the platform.

Certain features of the Service may be offered on a free or paid basis. If you purchase a paid plan or feature, you agree to pay the applicable fees as described at the time of purchase. We reserve the right to change pricing with reasonable notice.

Third Base strives to surface honest, upfront cost estimates for business formation. These estimates are informational only and do not constitute quotes or guarantees of actual costs you will incur with third-party vendors.

You retain ownership of all content you submit to or create through the Service, including business names you select, documents you upload, and data you enter (“User Content”). By using the Service, you grant Third Base a limited, non-exclusive license to process, store, and display your User Content solely to provide the Service to you.

You represent and warrant that you have the right to submit any User Content you provide and that it does not violate any third party’s rights.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Service, other users’ accounts, or any systems or networks connected to the Service.
• Use the Service to transmit malware, viruses, or other harmful code.
• Interfere with or disrupt the integrity or performance of the Service.
• Scrape, crawl, or use automated means to access the Service without our prior written consent.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Use the Service to generate, store, or distribute content that is defamatory, obscene, or otherwise objectionable.
• Resell, sublicense, or commercially exploit the Service without authorization.

The Service, including its design, features, code, content, trademarks, and the Third Base name and logo, are owned by or licensed to Third Base and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

Business names generated by the AI naming tool are suggestions only. Third Base does not claim ownership of names you select and does not guarantee that any suggested name is available for use, registration, or trademark protection. You are solely responsible for conducting appropriate availability and trademark searches.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the practices described in the Privacy Policy.

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the foregoing, Third Base does not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• AI-generated content will be accurate, complete, or suitable for any particular purpose.
• Any business name suggestion will be available for registration, free of trademark conflicts, or legally permissible in your jurisdiction.
• Cost estimates or vendor comparisons will be accurate or current.
• The results of any formation, incorporation, or business launch steps taken through the Service will meet your expectations.

To the maximum extent permitted by applicable law, Third Base and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service, whether based on warranty, contract, tort, or any other legal theory.

In no event shall Third Base’s total aggregate liability exceed the greater of (a) the amounts you have paid to Third Base in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

You agree to indemnify, defend, and hold harmless Third Base and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. You may stop using the Service at any time.

Upon termination, your right to use the Service ceases immediately. We may, but are not obligated to, retain your data for a reasonable period to allow you to export it. Provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 9, 11, 13, 14, 15, and 17.

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Third Base regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. The failure of Third Base to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. Third Base may assign these Terms without restriction.
